THE DEVELOPMENT<\/h4><p>Switzerland has moved significantly closer to imposing substantially higher capital requirements on UBS. On 23 September, the Council of States, the upper chamber of the Swiss Parliament, backed a proposal requiring UBS to support the value of its foreign subsidiaries with 90% Common Equity Tier 1 capital. CET1 is the highest-quality form of bank capital: principally shareholders\u2019 equity and retained earnings that can absorb losses while a bank remains operating. The Federal Council had proposed a 100% requirement, while UBS had supported a less demanding parliamentary alternative combining 50% CET1 with 50% Additional Tier 1, or AT1, capital.<\/p><p>The difference is financially significant. UBS has estimated that the 90% proposal could require approximately $18 billion of additional capital, while the broader government package had previously been estimated at around $20 billion. The legislation has not yet completed the parliamentary process: it must still pass through the National Council, Switzerland\u2019s lower chamber, and a final settlement may not emerge until 2027. On 24 September, Swiss National Bank Vice-Chairman Antoine Martin said that 90% CET1 backing represented a strong outcome from a financial-stability perspective, while noting that the central bank had previously supported full backing.<\/p><h4>2. THE PRIVATE WEALTH CONTEXT<\/h4><p>For a private client, the technical debate over CET1 and AT1 can appear distant from everyday banking. In reality, it goes to the heart of how a major international bank uses its balance sheet. CET1 is permanent shareholder capital and therefore expensive for a bank to hold. AT1 instruments are subordinated securities designed to absorb losses under defined circumstances, but they are not equivalent to ordinary equity. Requiring more CET1 therefore gives regulators a larger permanent capital cushion, while potentially changing the economics of how the bank deploys capital across businesses and jurisdictions.<\/p><p>That distinction matters because UBS is no longer simply one large Swiss bank among several. Following the rescue and acquisition of Credit Suisse in 2023, it occupies an unusually important position within Switzerland\u2019s financial system and remains one of the world\u2019s largest wealth-management institutions. Swiss policymakers are therefore trying to address two legitimate but competing considerations: protecting the financial system from the consequences of another major bank failure, while preserving the international competitiveness of an institution whose business extends far beyond Switzerland. UBS has argued that the proposed requirements could materially weaken its competitive position; the Federal Council and SNB have emphasised the need for stronger loss-absorbing capacity.<\/p><p>For wealth-management clients, this should not be interpreted as evidence of an immediate problem at UBS. It is a debate about the future architecture of the bank rather than a response to a current solvency event. The more relevant question is how materially higher capital requirements could influence the bank\u2019s business model over time: which activities receive capital, how returns are assessed internally, and whether certain forms of balance-sheet-intensive lending become relatively more expensive.<\/p><p>That is particularly relevant in private banking because a significant relationship frequently extends well beyond investment management. A sophisticated client may use the same institution for custody, liquidity, foreign exchange, mortgages, corporate banking and Lombard lending. A Lombard facility is a loan secured against a portfolio of liquid financial assets. It consumes bank balance sheet and capital, which means regulatory changes affecting the cost of that capital can eventually influence pricing, availability or the way a bank assesses a relationship.<\/p><h4>3. WHY THIS MATTERS FOR CAPITAL<\/h4><p>The strategic issue is therefore broader than UBS shareholders. More capital can make a banking institution more resilient, but capital is also an economic resource that banks allocate according to risk and expected returns. If UBS ultimately has to hold materially more permanent equity against its international operations, management may respond through some combination of retained earnings, changes to capital allocation, business mix, pricing or balance-sheet efficiency. None of those outcomes is predetermined. For international clients, however, the episode is a useful reminder that the economics of private banking, Lombard credit and large financing relationships are partly shaped by regulation far above the level of individual client portfolios.<\/p><h4>4. WHAT WE ARE WATCHING NEXT<\/h4><p>Over the next three months, attention will remain on the National Council and on whether the 90% proposal survives the next stage of the legislative process. The immediate facts are therefore political and regulatory rather than operational: UBS is not yet working under the final new regime.<\/p><p>Over six to twelve months, the more important questions will concern the final calibration of the rules, the implementation timetable and UBS\u2019s strategic response. Management has already said that the 90% proposal does not represent an acceptable compromise from its perspective. That does not tell us what action the bank will ultimately take, but it does mean that capital allocation, group structure and the competitiveness of the Swiss headquarters are likely to remain active subjects.<\/p><p>Over a longer horizon, the consequences will depend less on the headline percentage and more on how the final rules affect UBS relative to major US, European and Asian competitors. The relevant test will be whether Switzerland can strengthen systemic resilience without materially reducing the ability of its largest bank to compete for global wealth and corporate relationships.<\/p><h4>5. HOW PROFESSIONAL CAPITAL IS RESPONDING<\/h4><p>The debate has already divided the principal stakeholders. The Federal Council and the SNB have stressed financial stability and the lessons of Credit Suisse, while UBS and several Swiss business organisations have warned that an excessive capital burden could impair competitiveness and increase costs. The upper-house decision itself was therefore significant because it rejected the more moderate 50% CET1\/50% AT1 compromise that UBS had supported.<\/p><p>Professional investors are consequently looking beyond the regulatory headline towards return on equity, capital generation and strategic optionality. A bank holding more equity against the same activities may produce a lower return on that equity unless earnings or efficiency compensate for the additional capital. At the same time, a stronger balance sheet can have value of its own, particularly for a global wealth institution whose franchise depends heavily on confidence.<\/p><h4>6. THE PRIVATE BANKING PERSPECTIVE<\/h4><p>For a private banker, the sensible response is not to encourage clients to make abrupt changes because of a parliamentary vote. It is to understand concentration. A family with substantial assets, credit facilities, operating-company accounts and custody all sitting within one banking group has a different dependency on that institution from someone holding a straightforward investment account. The larger and more internationally complex the balance sheet, the more relevant it becomes to understand exactly which banking relationships perform which functions.<\/p><p>This is also where multi-banking becomes more than simply holding accounts at several institutions. Properly structured, it can separate custody, liquidity, credit, operating banking and foreign-exchange exposure across complementary relationships. That can create negotiating leverage and operational resilience while reducing dependence on a single institution\u2019s changing appetite for a particular type of financing or client profile. The objective is not to avoid major banks; it is to use them deliberately.<\/p><h4>7. IMPLICATIONS FOR INTERNATIONAL CLIENTS<\/h4><p>Clients using Switzerland as one element of a wider international banking structure should follow this debate because the eventual consequences may extend into lending appetite, relationship pricing and the relative attractiveness of different Swiss institutions. This is particularly relevant for clients using Lombard facilities, substantial custody arrangements or several banking jurisdictions simultaneously. The correct response will depend on the individual structure, but understanding concentration across banks, currencies and credit facilities is increasingly part of prudent international financial coordination.<\/p><h4>8.
